TIMESYNC END USER LICENSE AGREEMENT

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING TIMESYNC.

By clicking "I Agree" or by installing, copying, or otherwise using TimeSync, you agree to be bound by the terms of this agreement. If you do not agree, do not use the software.

1. DEFINITIONS

"Software" means the TimeSync Adobe Illustrator plugin, including all associated files, updates, and documentation. "Licensor" means 48K LTD, a company registered in England and Wales. "Licensee" means the individual or organisation that has purchased a valid license key for the Software. "License Key" means the unique key issued to the Licensee upon purchase that activates the Software. "Seat" means a single installation of the Software on one physical or virtual computer, used by one individual.

2. GRANT OF LICENSE

Subject to the terms of this Agreement and payment of the applicable license fee, 48K LTD grants the Licensee a non-exclusive, non-transferable, limited license to install and use the Software on the number of Seats permitted by the purchased plan: Solo plan: 1 seat. Studio plan: up to 3 seats. Team plan: up to 10 seats. Enterprise plan: unlimited seats, subject to a separately agreed contract. Licences are sold per plan, not per individual: a Team plan covers up to 10 seats in total. This license is personal to the Licensee and may not be shared, sublicensed, or transferred to any third party without the prior written consent of 48K LTD.

3. ANNUAL AND PERPETUAL LICENCES

Annual licences are valid for 12 months from the date of purchase and include all updates and support for that period. Continued use requires renewal. Perpetual licences are a one-time purchase and do not expire. The first year of updates and support is included. From year 2, an optional annual maintenance fee applies to continue receiving updates and support. If maintenance is not renewed, the licence remains valid and the Licensee may continue using the version most recently released to them.

4. LICENSE VALIDATION

The Software requires an active internet connection to validate the License Key against 48K LTD's licensing servers. Validation occurs on each launch and periodically during use. The Software may operate in offline mode for up to 24 hours using a cached validation, after which re-validation is required. Each Seat is locked to the computer on which it is first activated. Activation on a different computer requires deactivation of the existing Seat or contact with 48K LTD support.

5. SYSTEM REQUIREMENTS

macOS 12 Monterey or later. Adobe Illustrator 2024 (v28) or later. Active internet connection (for license validation). 48K LTD gives no warranty that the Software will operate on configurations outside these requirements.

6. RESTRICTIONS

The Licensee shall not: copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software; remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in or on the Software; rent, lease, lend, sell, sublicense, assign, or otherwise transfer the Software or any rights therein to any third party; use the Software to develop a competing product or service; share, publish, or distribute the License Key to any third party; circumvent or attempt to circumvent the license validation system.

7. INTELLECTUAL PROPERTY

The Software, including all code, design, algorithms, activity and idle detection logic, and associated materials, is and shall remain the exclusive property of 48K LTD. This Agreement does not transfer any intellectual property rights to the Licensee. All rights not expressly granted herein are reserved by 48K LTD.

8. TIME RECORDS DISCLAIMER

The Software records time spent on Illustrator documents based on application focus, document activity and system idle time. Its records are an aid to time keeping and may not capture all time spent on a job, such as work done away from the computer or in other applications. 48K LTD makes no warranty that the Software's records are complete or accurate. The Licensee is solely responsible for checking all time records before using them for invoicing, payroll, reporting or any other purpose. 48K LTD shall not be liable for any losses, claims or disputes arising from time records produced using the Software.

9. DATA AND PRIVACY

The Software sends limited information to 48K LTD's servers to validate your licence and deliver plan features: licence key, machine/seat ID, plugin version, IP address, and timestamp. Time records, job names and file paths are stored locally on your computer and are not sent to 48K LTD. If you set up a webhook, time records are sent only to the address you enter, and you are responsible for that destination and how it handles the data. See our Privacy Policy for more detail.

10. UPDATES AND SUPPORT

48K LTD may, at its sole discretion, provide updates, bug fixes, or new features for the Software. Updates may change or remove features. Support is provided via email at info@48k.solutions. Response times are not guaranteed unless a support SLA has been separately agreed.

11. TERM AND TERMINATION

Annual licences are valid for 12 months from the date of purchase and must be renewed to continue use. Perpetual licences have no expiry; from year 2, updates and support require an annual maintenance fee as set out in section 3. 48K LTD may terminate this Agreement immediately and without notice if the Licensee breaches any term of this Agreement. Upon termination, the Licensee must cease all use of the Software and destroy all copies.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, 48K LTD shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, revenue, data, goodwill, or business interruption, arising out of or in connection with the use or inability to use the Software, even if 48K LTD has been advised of the possibility of such damages. 48K LTD's total liability to the Licensee under this Agreement shall not exceed the amount paid by the Licensee for the Software in the 12 months preceding the claim.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the Software and supersedes all prior or contemporaneous understandings or agreements, written or oral, regarding the Software.
